Under FinCEN's March 26, 2025 interim final rule, only foreign-formed entities registered to do business in the United States must file a Beneficial Ownership Information (BOI) report. Is BOI reporting still required?
BOI reporting under the Corporate Transparency Act has been through multiple injunctions and reinstatements. As of 2026, US-formed reporting companies are no longer required to file; foreign reporting companies and certain domestic edge cases still are. We monitor FinCEN guidance daily and only file what is legally required. The $249 fee covers a single report; the $129/yr Business OS plan covers unlimited initial + updated reports and tracks the rule changes for you.
Who is a "beneficial owner" under the rule?
Any individual who either (1) directly or indirectly owns or controls 25%+ of the company, or (2) exercises substantial control over the company (senior officers - CEO, CFO, COO, GC; anyone with authority to appoint/remove officers; anyone who directs major decisions). Most small companies have 1-3 beneficial owners. We help identify edge cases (trusts, holding companies, foreign ownership).
What information has to be reported per beneficial owner?
Full legal name, date of birth, residential street address (not a PO box), and an identifying document (passport, US driver license, or state-issued ID) with the document number and an image of the document. The company itself also reports its legal name, trade names, address, jurisdiction of formation, and EIN.
What are the penalties for not filing?
Civil penalties up to $606/day (2025 inflation-adjusted cap, $10,000 per violation max) and criminal penalties up to $10,000 + 2 years in prison for willful violations under 31 U.S.C. § 5336. The willful standard matters: good-faith errors or filings made under conflicting court guidance are typically not penalized.
How long does the filing take through File.Business?
Standard turnaround: same business day if you complete the intake form before 2 PM ET. We submit through the FinCEN BOSS portal and deliver the official FinCEN Identifier (FinCEN ID) + receipt to your vault. Updated reports for ownership/officer changes are required within 30 days; we track + remind.
Does the $129/yr Business OS plan cover updates?
Yes. Unlimited initial + updated + corrected BOI reports, plus all the other compliance filings included in the plan (Annual Report, registered agent, deadline tracker, document vault).
